Terms of Use

1.1 These Website Terms of Use ("Terms") apply to your use of the website at nexus-cloud.co and www.nexus-cloud.co, including its language versions (the "Website").

1.2 The Website is operated by Nexus-Cloud, Corp., with its registered address at 2803 Philadelphia Pike, Suite B #1681, Claymont, DE 19703, USA ("Nexus Cloud", "we", "us", "our").

1.3 By using the Website you agree to these Terms. If you do not agree, please do not use the Website.

1.4 If you use the Website or submit a form on behalf of an organisation, you confirm that you are authorised to do so, and "you" includes that organisation.

2.1 These Terms cover the Website only. They do not govern access to or use of the Nexus Cloud products: Nexus Signage, Nexus Queue and Nexus Surveys (the "Products").

2.2 Use of the Products is governed by the written agreement or order form between your organisation and Nexus Cloud (an "Agreement").

2.3 The Website contains a "Sign in" link for existing users of the Products and a "Start free trial" link to the sign-up page of the Products. Following either link takes you to the Products. Creating an account, the free trial and any later use of the Products are governed by the terms presented and accepted at sign-up and, where one exists, by your organisation's Agreement, and not by these Terms.

2.4 The Website does not itself collect sign-up details or create accounts.

2.5 If these Terms conflict with an Agreement or with the terms presented at sign-up, those other terms prevail.

3.1 The Website is intended for business users: people acting for an organisation that is evaluating (including through a free trial), buying, reselling, distributing or integrating the Products, and people seeking general information about Nexus Cloud.

3.2 The Website is not directed at individuals under 18.

3.3 You must not use the Website if doing so would breach export-control or sanctions laws that apply to you or to us.

4.1 Content on the Website, including descriptions of the Products, is provided for general information. It is not an offer, a quotation, a contract term, a commitment that any feature, deployment option or service level is available in your situation, or professional advice.

4.2 The capabilities, deployment options, prices and service levels that apply to you are confirmed only in writing in an Agreement or in a written proposal from Nexus Cloud. The Website does not publish prices or plans. It links to a free trial of the Products (section 2.3).

4.3 We aim to keep the Website accurate and up to date, but content may change or become out of date without notice.

4.4 Some photographs on the Website are AI-generated illustrations of fictional places and people, and product screens shown on the Website are illustrative designs. They do not depict real customers, deployments or endorsements.

4.5 Unless we say otherwise, people, organisation names and data shown in images, product illustrations and demonstrations on the Website are fictional or illustrative.

5.1 The Website offers three forms: Book a Demo, Contact Sales and Become a Partner. How we handle the information you submit is described in our Privacy Policy. Signing up for a free trial is not a Website form; it takes place on the sign-up page of the Products (section 2.3).

5.2 Submitting a form is a request for contact only. It does not:

• (a) create a contract, a customer relationship or any right to use the Products;
• (b) oblige us to provide a demo, a proposal or a response within any particular time; or
• (c) in the case of the Become a Partner form, create any partnership, reseller, distributor or integrator status, territory, exclusivity or other right. Any partnership is subject to a separate written partner agreement.

5.3 When you submit a form, you agree:

• (a) to give accurate information about yourself and your organisation, using your company contact details;
• (b) that you are authorised to share the information you submit, including any information about your organisation; and
• (c) not to include in free-text fields any confidential information, passwords, sensitive personal data, or other people's personal data that is not needed for your request.

5.4 We may decline to respond to submissions that appear automated, abusive or unrelated to our business.

6.1 You must not:

• (a) use the Website in a way that breaks any law or infringes anyone's rights;
• (b) submit false, misleading or impersonating information, or submit a form on behalf of another person without their authority;
• (c) introduce viruses, malware or other harmful code, or attempt to gain unauthorised access to the Website, its servers or any connected system;
• (d) probe, scan or test the vulnerability of the Website or its infrastructure without our written permission;
• (e) use automated means to submit forms, or to scrape, copy or extract content from the Website at scale, other than standard search-engine indexing;
• (f) place an unreasonable load on the Website or interfere with its operation; or
• (g) use the Website or its content to build a competing product or service, or to send unsolicited marketing.

6.2 We may restrict or block access to the Website, or reject submissions, where we reasonably believe these Terms have been breached or to protect the Website, our users or third parties. The Website applies automated rate limits and abuse checks to form submissions.

7.1 The Website and its content, including text, graphics, images, video, page designs, the Nexus Cloud name, the NEXUS logo and the names Nexus Signage, Nexus Queue and Nexus Surveys, are owned by or licensed to Nexus Cloud and are protected by intellectual property laws.

7.2 You may view the Website and print or download extracts and the documents in our resources library for your organisation's internal evaluation of Nexus Cloud, provided you keep any notices and do not modify the content. No other licence is granted. In particular, these Terms grant no licence to the Products.

7.3 You must not use our names or logos in a way that suggests endorsement, partnership or affiliation without our prior written permission.

7.4 Third-party names and marks shown on the Website belong to their owners. Net Promoter®, NPS®, NPS Prism®, Net Promoter System® and the NPS-related emoticons are registered trademarks of Bain & Company, Inc., NICE Systems, Inc. and Fred Reichheld. Net Promoter Score℠ is a service mark of Bain & Company, Inc., NICE Systems, Inc. and Fred Reichheld.

8.1 The Website may link to websites or services run by others. We do not control and are not responsible for their content, availability or privacy practices. A link is not an endorsement.

8.2 You may link to the Website's home page or product pages in a fair and lawful way that does not suggest endorsement or damage our reputation. You must not frame the Website on another site.

9.1 The Website is provided free of charge. We do not guarantee that it will always be available, uninterrupted or free of errors, and we may change, suspend or withdraw any part of it at any time.

10.1 To the extent permitted by law, the Website and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, fitness for a particular purpose and non-infringement.

10.2 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the law that applies.

11.1 To the extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of the Website, even if we were advised of the possibility of such loss.

11.2 To the extent permitted by law, our total liability arising out of or in connection with your use of the Website is limited to USD 100.

11.3 Liability in connection with the Products, including during a free trial, is governed exclusively by the Agreement or by the terms presented at sign-up.

12.1 You are responsible for losses we incur as a result of your breach of section 6 (Acceptable use), to the extent permitted by law.

13.1 These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules.

13.2 Before starting any formal proceedings, you and we will try in good faith to resolve a dispute informally for at least 30 days, starting when one party notifies the other in writing. Any dispute arising from these Terms that is not resolved informally is subject to the courts located in the State of Delaware, USA.

13.3 This section does not affect any mandatory rights you have under the law of the place where you are based.

14.1 We may update these Terms. The updated version takes effect when it is published on the Website with a new effective date and version. If you continue to use the Website after that, the updated Terms apply. Changes do not affect any Agreement.

15.1 These Terms may be provided in other languages for convenience. If there is a conflict, the English version prevails, unless the law that applies requires otherwise.

16.1 If any part of these Terms is found unenforceable, the rest remains in effect.

16.2 If we do not enforce a provision straight away, we may still enforce it later.

16.3 We may transfer our rights and obligations under these Terms in connection with a reorganisation, merger or sale of business.

16.4 These Terms, together with the Privacy Policy, are the whole agreement between you and us about your use of the Website. They do not replace or amend any Agreement.
